Paul J. O'Riordan is a Partner at Seder & Chandler, LLP and a member of the firm's Executive Committee.  Paul practices in the Business Law, Banking & Finance, Estate Planning, and Taxation areas.  He advises businesses, individuals and institutional clients on many matters, including formation of business entities, succession planning, corporate and financial transactions, and business, personal and estate & trust taxation matters.

Paul's banking & finance focuses on the representation of banks, credit unions and trust companies, as well as mezzanine and other private lenders, and both large and small business borrowers.  His domestic and foreign commercial lending and borrowing clients consistently call upon Paul to assist them in negotiating, documenting and closing a wide array of both small- and large-scale credit facilities and loans, including those involving leveraged and management buyouts; ESOP borrowers; multi-tranche credit facilities; commercial real estate and construction loans; asset-based loan facilities; and U.S. Small Business Administration (SBA) loans and guarantees.  Both regional and national lenders turn to Paul to assist them in financial restructuring, workout and foreclosure matters, and rely on his expertise in bringing even the most troubled credit relationships back to performing status in an efficient manner.

Paul's corporate practice and experience is both versatile and deep.  Large publicly-traded and middle market companies, family-owned small businesses, real estate developers and not-for-profit organizations all rely on Paul's 30+ years of experience and judgment in mergers and acquisitions (including stock and asset purchases and sales); joint ventures and partnerships (both real estate and corporate); venture capital and private equity transactions; corporate governance; executive compensation and equity incentive plans; and business succession planning.  Manufacturers, distributors and suppliers, energy companies, trade show production companies, start-ups and emerging businesses rely on his experience and judgment in facilitating their various business arrangements and growth, and his ability to quickly tackle time-sensitive business issues and transactions.

In addition to his lending and corporate practices, Paul's institutional and corporate clients often turn to him to structure and analyze tax-exempt financings and other tax issues arising in the course of their business operations.  He has represented business entities, and other taxpayers, before the Internal Revenue Service and other state and local authorities.  Paul also represents high net worth individuals and families in estate and tax planning and estate and trust administration.  He works closely with families to provide for beneficiaries in thoughtful ways, taking into account not only tax issues, but also family values, the personal attributes of beneficiaries, their financial needs and creditor protection.  Paul specializes in advising charitable, other nonprofit organizations, and their affiliates on a wide range of issues related to tax exemption and nonprofit status.
