Comprehensive Approach to Solving Legal Problems

Software and Information Technology Law Practice

SOFTWARE AND INFORMATION TECHNOLOGY LAW

Seder and Chandler's software and information technology practice is led by Howard Novick, former Senior Vice President for Legal Affairs of Fast Search & Transfer, an enterprise software company that was acquired by Microsoft during his tenure.

Our software and information technology practice focuses on counseling companies with respect to the development, licensing and distribution of software, information technology and related services. We represent clients on both the "sell" and "buy" side of technology licensing transactions throughout the United States and internationally. In particular, we have extensive experience in providing advice with respect to the drafting, negotiation and interpretation of the following sorts of contracts that your company may require:

End-user License Agreements, OEM Agreements, Reseller Agreements, Distribution Agreements, Software-as-a-Service (SaaS) Agreements, Cloud Computing Agreements, Hosting Agreements, Consulting Agreements, Professional Services Agreements, Development Agreements, Joint Marketing Agreements, Strategic Partnership Agreements and Non-disclosure Agreements

We take a pragmatic, business-oriented approach to our representation of technology companies, recognizing that the window of opportunity in many sales transactions does not remain open indefinitely. We are accessible and responsive to each of our clients' unique legal concerns and we can draw on the full range of expertise of the lawyers in other areas of the firm (corporate, employment, real estate, finance, banking and litigation) as needed. In addition, our fee structure is sensitive to your company's budget for ongoing legal services.
